About the platform

BOMI is an EdTech venture platform. Through the Site we provide information about our work and operate an intake process through which individuals may apply to build, work or partner with us. The Site is provided for general informational and application purposes only. Nothing on the Site constitutes an offer, investment commitment, partnership, employment offer, or professional advice of any kind.

Eligibility

You may use the Site only if you are at least 18 years old (or the age of majority in your jurisdiction) and able to enter into a binding agreement. By using the Site you confirm that you meet these requirements and that any information you provide is accurate and your own (or that you are authorised to provide it).

Submissions, ideas and applications

This section is important. Please read it carefully.

3.1 No confidentiality.Unless we have signed a separate written confidentiality or non-disclosure agreement with you, any idea, proposal, pitch, business plan, material, or other information you submit to us through the Site, the application form, email or otherwise (a "Submission") is provided on a non-confidential and non-proprietary basis. We are under no obligation to keep any Submission confidential.

3.2 No obligation; no relationship. Reviewing or receiving a Submission does not create any partnership, joint venture, agency, employment, investment, or fiduciary relationship between you and us, and imposes no obligation on us to respond, evaluate, pursue, fund, or compensate you in any way. Any future relationship will be governed solely by a separate written agreement signed by both parties.

3.3 Independent development. You acknowledge that we and others may already be developing, or may in the future independently develop, ideas, products, concepts or strategies that are similar or identical to your Submission. Nothing in your Submission restricts our ability to do so, and we will have no liability to you arising from such activities.

3.4 Your warranties.You represent and warrant that you own or have the necessary rights to share each Submission, that it does not infringe any third party's intellectual property, privacy, confidentiality or other rights, and that it does not contain unlawful, defamatory or harmful content.

3.5 Licence to us. To the extent a Submission contains material protected by intellectual property rights, you grant us a non-exclusive, worldwide, royalty-free licence to use, store, reproduce and analyse the Submission for the purpose of evaluating it and operating our platform. This does not transfer ownership of your Submission to us.

Intellectual property

All content on the Site — including text, graphics, logos, the "BOMI" name and brand, design, layout and software — is owned by or licensed to us and is protected by intellectual property laws. Except as expressly permitted, you may not copy, reproduce, modify, distribute, publish or create derivative works from any Site content without our prior written consent. The trademarks, logos and brand names on the Site may not be used without permission.

Acceptable use

You agree not to:

• use the Site for any unlawful, fraudulent or harmful purpose;
• attempt to gain unauthorised access to the Site, our systems or other users' data;
• introduce malware, viruses, or any malicious or disruptive code;
• scrape, harvest, or use automated means to collect data from the Site without our consent;
• interfere with the proper functioning, security or integrity of the Site;
• submit content that is false, misleading, infringing, defamatory, or that violates the rights of others;
• misrepresent your identity or affiliation.

We may suspend or restrict access to the Site for anyone who breaches these Terms.

Third-party links and services

The Site may contain links to third-party websites, tools or services that we do not control. We provide these for convenience only and are not responsible for their content, availability, or practices. Your use of any third-party service is at your own risk and subject to that third party's terms.

Disclaimers

The Site and all content are provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components, or that any information on it is complete or current. Any reliance you place on the Site is at your own risk.

Limitation of liability

To the maximum extent permitted by law, BOMI, its founders, affiliates, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of (or inability to use) the Site or any Submission, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability arising out of or related to these Terms or the Site will not exceed EUR 100 (one hundred euros).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

Indemnification

You agree to indemnify and hold harmless BOMI and its founders, affiliates and agents from any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your misuse of the Site, or any Submission you provide.

Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we collect and process personal data. By using the Site, you acknowledge that you have read it.

Changes to the Site and Terms

We may modify, suspend or discontinue all or part of the Site at any time without notice. We may also update these Terms from time to time. When we make material changes, we will post the updated Terms on the Site and update the "Last updated" date. Your continued use of the Site after the changes take effect constitutes acceptance of the updated Terms.

Termination

We may suspend or terminate your access to the Site at any time, with or without cause or notice. Sections that by their nature should survive termination (including Sections 3, 4, 7, 8, 9 and 13) will continue to apply.

Governing law and dispute resolution

These Terms are governed by the laws of Ukraine, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the competent courts of Ukraine, unless mandatory law provides otherwise.

General

• Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Site.
• Severability. If any provision is held invalid, the remaining provisions remain in full force.
• No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
